These Terms of Service (hereinafter referred to as the Terms) constitute a legally binding agreement between Beta Global Partners LLC, doing business as Sigma Ops (hereinafter referred to as Sigma Ops, we, us, or our), and you, the user of our website and services (hereinafter referred to as you or your). By accessing our website at twin3cities-sigmaops.web.app, engaging our consulting services, submitting a contact form, or otherwise interacting with Sigma Ops, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must not use our website or services.

1. Definitions

For the purposes of these Terms, the following definitions apply:

• Sigma Ops: The trade name under which Beta Global Partners LLC provides computer systems design and IT consulting services.
• Services: Computer systems design, IT consulting, cybersecurity operations, cloud and hybrid infrastructure engineering, managed infrastructure services, technology advisory, and any other professional services offered by Sigma Ops, whether described on our website or defined in a separate written agreement.
• Website: The Sigma Ops website accessible at twin3cities-sigmaops.web.app, including all subpages, content, and functionality made available through this domain.
• Engagement Agreement: A separate written contract, statement of work, or service agreement executed between Sigma Ops and a client that defines the specific scope, deliverables, timeline, and fees for a particular project or ongoing service.
• User: Any individual or entity that accesses the Website, submits information through the Website, or otherwise interacts with Sigma Ops.

2. Acceptance of Terms

By accessing or using the Website, you represent and warrant that you are at least 18 years of age and possess the legal capacity to enter into binding agreements. If you are using the Website or Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. These Terms apply to all users of the Website, including without limitation visitors, prospective clients, and active clients. Your continued use of the Website following any modifications to these Terms constitutes your acceptance of the modified Terms.

3. Description of Services

Sigma Ops provides computer systems design and IT consulting services. The descriptions of our services on the Website are provided for informational purposes only and do not constitute a binding offer. All services are governed by a separate Engagement Agreement that specifies the scope of work, deliverables, timelines, fees, payment terms, and any other relevant conditions. No contractual relationship for the provision of services is formed through the Website alone. Sigma Ops reserves the right to decline any engagement at its sole discretion.

4. Website Use and Conduct

You agree to use the Website only for lawful purposes and in a manner consistent with these Terms and all applicable laws and regulations. When using the Website, you agree not to:

• Use the Website in any way that violates any applicable federal, state, local, or international law or regulation.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Website, the server on which the Website is hosted, or any server, computer, or database connected to the Website.
• Use any automated means, including robots, spiders, crawlers, or scrapers, to access, extract, or collect data from the Website without our prior written consent.
• Introduce any viruses, malware, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful to the Website or its users.
• Submit false, misleading, or fraudulent information through any form or communication channel on the Website.
• Impersonate or attempt to impersonate Sigma Ops, a Sigma Ops employee, another user, or any other person or entity.
• Use the Website to transmit, distribute, or store material that is defamatory, obscene, threatening, harassing, or otherwise objectionable.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or architecture of the Website or any software used in connection with the Website.

Sigma Ops reserves the right to monitor use of the Website and to suspend or terminate access to the Website for any user who violates these Terms, without prior notice.

5. Intellectual Property Rights

5.1 Website Content

All content on the Website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, software, page layout, design elements, and the overall look and feel of the Website (collectively, the Website Content), is the exclusive property of Beta Global Partners LLC, Sigma Ops, or its content suppliers, and is protected by United States and international copyright, trademark, trade dress, and other intellectual property laws. The compilation of all content on the Website is the exclusive property of Beta Global Partners LLC and is protected by U.S. and international copyright laws.

5.2 Trademarks

The name Sigma Ops, the Sigma Ops logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Beta Global Partners LLC or its affiliates. You must not use such marks without the prior written permission of Beta Global Partners LLC. All other names, logos, product and service names, designs, and slogans on the Website are the trademarks of their respective owners.

5.3 Limited License

Sigma Ops grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Website Content solely for your personal, non-commercial use in connection with evaluating our services. This license does not include any right to: reproduce, duplicate, copy, sell, resell, or otherwise exploit the Website or Website Content for any commercial purpose; modify or create derivative works based on the Website or Website Content; frame or mirror any part of the Website on any other server or wireless or Internet-based device; or use any meta tags or any other hidden text using Sigma Ops names or trademarks without our express written consent.

5.4 Client Deliverables

Intellectual property rights in deliverables created for clients under an Engagement Agreement shall be addressed in the applicable Engagement Agreement. Unless otherwise specified in a written Engagement Agreement, Sigma Ops retains ownership of all pre-existing intellectual property, tools, methodologies, frameworks, and know-how used in the delivery of services, and grants the client a perpetual, non-exclusive license to use the deliverables for their internal business purposes.

6. Disclaimer of Warranties

THE WEBSITE AND ALL CONTENT, INFORMATION, AND SERVICES PROVIDED THROUGH THE WEBSITE ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SIGMA OPS AND BETA GLOBAL PARTNERS LLC DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, SIGMA OPS DOES NOT WARRANT THAT: THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; THE CONTENT ON THE WEBSITE IS ACCURATE, COMPLETE, CURRENT, OR RELIABLE; DEFECTS IN THE WEBSITE WILL BE CORRECTED; OR RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE. YOUR USE OF THE WEBSITE AND RELIANCE ON ANY INFORMATION OBTAINED THROUGH THE WEBSITE IS AT YOUR OWN RISK.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIGMA OPS, BETA GLOBAL PARTNERS LLC, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COMPUTER FAILURE OR MALFUNCTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE WEBSITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF SIGMA OPS AND BETA GLOBAL PARTNERS LLC, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHER THEORY, ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE WEBSITE, EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU, IF ANY, TO SIGMA OPS FOR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00). THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF THE REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW.

8. Indemnification

You agree to indemnify, defend, and hold harmless Sigma Ops, Beta Global Partners LLC, and their respective officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses, including reasonable attorneys fees and court costs, arising out of or relating to: your violation of these Terms; your use of the Website or Services; your violation of any applicable law, regulation, or third-party right; any content or information you submit through the Website; or any misrepresentation made by you. Sigma Ops reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case you agree to cooperate fully with our defense of such claim.

The Website may contain links to third-party websites, services, or resources that are not owned or controlled by Sigma Ops. These links are provided for your convenience only. Sigma Ops has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, practices, or opinions expressed on any third-party website. You access third-party websites at your own risk, and you should review the applicable terms and policies of any third-party site you visit.

10. Confidential Information

Any information you submit through the Website, including through the contact form, that pertains to your business, technical environment, infrastructure, or operational requirements will be treated as confidential and used solely for the purpose of evaluating and delivering our services. However, information transmitted over the Internet is not completely secure, and Sigma Ops cannot guarantee the security of data transmitted to or from the Website. Transmission of data is at your own risk. Formal confidentiality obligations shall be governed by a separate non-disclosure agreement or Engagement Agreement where applicable.

11. Termination

Sigma Ops reserves the right, in its sole discretion, to terminate or suspend your access to the Website, in whole or in part, at any time and without prior notice, for any reason including without limitation your breach of these Terms or conduct that Sigma Ops believes violates applicable law or is harmful to the interests of Sigma Ops, Beta Global Partners LLC, its clients, or any third party. The provisions of these Terms relating to intellectual property, disclaimers, limitations of liability, indemnification, and governing law shall survive any termination.

12. Modifications to Terms

Sigma Ops reserves the right to modify, amend, or replace these Terms at any time at its sole discretion. When we make changes, we will update the Last Updated date at the top of this page. Material changes will be communicated through a prominent notice on the Website. Your continued use of the Website following the posting of revised Terms constitutes your acceptance of the modified Terms. If you do not agree with the revised Terms, you must discontinue use of the Website. It is your responsibility to review these Terms periodically for changes.

13. Modifications to Services

Sigma Ops reserves the right to modify, suspend, or discontinue any aspect of the Website or Services at any time, with or without notice. Sigma Ops shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Website or Services.

14. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to these Terms, the Website, or the Services shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any legal action, suit, or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction and venue of such courts.

14.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact Sigma Ops and attempt to resolve the dispute informally. You may contact us at the address provided in Section 17. Both parties agree to negotiate in good faith for a period of at least thirty (30) days before either party may initiate formal legal proceedings.

14.2 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU HEREBY WAIVE ANY RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING AGAINST SIGMA OPS OR BETA GLOBAL PARTNERS LLC.

15. Force Majeure

Sigma Ops shall not be liable for any failure or delay in performance of its obligations under these Terms arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government orders, pandemics, epidemics, labor disputes, utility failures, Internet or telecommunications failures, denial-of-service attacks, or failure of third-party service providers.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any applicable Engagement Agreement, constitute the entire agreement between you and Sigma Ops regarding the Website and Services and supersede all prior or contemporaneous agreements, representations, and understandings, whether written or oral.
• Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
• Waiver: No failure or delay by Sigma Ops in exercising any right under these Terms shall operate as a waiver of that right. No waiver of any breach of these Terms shall constitute a waiver of any subsequent breach.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Sigma Ops. Sigma Ops may assign or transfer its rights and obligations under these Terms without restriction.
• Relationship of the Parties: Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and Sigma Ops. Sigma Ops is an independent contractor in all respects.
• Headings: The section headings in these Terms are for convenience only and shall not affect the interpretation of any provision.

Sigma Ops may also contact you by telephone regarding service inquiries and project-related matters.

19. Export Compliance

The Services and any related technology or software may be subject to United States export control laws and regulations. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, and trade and economic sanctions maintained by the U.S. Treasury Departments Office of Foreign Assets Control. You represent and warrant that you are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a terrorist-supporting country, and that you are not listed on any U.S. government list of prohibited or restricted parties.

20. Reporting Copyright Infringement

Sigma Ops respects the intellectual property rights of others and expects users of the Website to do the same. If you believe that any content on the Website infringes your copyright, please notify us in writing at the address provided in Section 17. Your notice must include: a physical or electronic signature of the copyright owner or person authorized to act on their behalf; identification of the copyrighted work claimed to have been infringed; identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material on the Website; your contact information; a statement that you have a good faith belief that use of the material in the manner complained of is not authorized; and a statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
